The CER Dividend will also be delivered in the form of Ready Capital shares. Additionally, holders of CERs will have the right to receive dividends ("CER Dividends"), which will accrue based on the actual Ready Capital common dividends per share paid to shareholders from the closing of the transaction to the end of the three year term and will be paid to CER Holders to the extent the CER is realized at the end of the three- year term. Under a pro forma exchange ratio, as of June 30, 2021, investors in the Mosaic Funds would receive approximately 30.3 million shares of Class B Common Stock.

A $98.9 million reduction will be applied to the book value of the Mosaic Funds to derive their aggregate adjusted book value.
